Seller Service Agreement

BETWEEN: HEVEA TORUS LTD, a company registered in Cyprus with its registered office at Lordou Vyronos, 61-63, 6th floor, Flat/Office 602, 6023 Larnaca, Cyprus (“Company”), operating the platform Seeit.co, AND The Content Provider (“Seller”), Collectively, the “Parties.”
PURPOSE AND AGENCY APPOINTMENT
This Agreement governs the Seller's use of the Seeit.co Platform to license Content to Buyers.
Principal and Merchant of Record: The Company contracts with Buyers in its own name as merchant of record for every Transaction. In that capacity the Company is authorized to: (a) Accept and process payments from Buyers in its own name; (b) Deduct applicable Service Fees and administrative costs; and (c) Credit the remaining balance to the Seller as Seller Earnings.
No Buyer-Seller Privity: The Buyer contracts solely with the Company and at no point owes any payment obligation to the Seller. The Seller's sole financial claim in respect of a Transaction is against the Company for Seller Earnings under this Agreement. The Company is not a bank, money transmitter, or escrow service, and does not hold Buyer funds on trust for the Seller.
SELLER ELIGIBILITY AND VERIFICATION
In order to become a Seller, you must complete the Company's onboarding process, which includes:
- Submitting valid government-issued identity documentation and passing a biometric liveness check.
- Providing accurate tax and banking/payout information.
- Complying with all applicable onboarding, tax, payout, and platform-safety requirements. The Company reserves the right to request re-verification or updated documentation at any time.
SELLER EARNINGS AND COMMISSION
Sellers are entitled to "Seller Earnings," which represent a percentage of the gross amount collected by the Company from Buyers.
Commission Structure: Unless otherwise agreed in writing, the Company shall retain a Service Fee of 20% of the gross transaction value. The remaining 80% constitutes the Seller's Earnings.
Tax Responsibility: The Seller is solely responsible for determining, reporting, and paying any taxes (VAT, Income Tax, etc.) associated with their Earnings. The Company does not provide tax advice.
PAYOUTS AND SETTLEMENT
Seller Balance: Earnings are recorded in a "Seller Balance" until a withdrawal is requested. The Seller Balance is a contractual receivable owed by the Company to the Seller. It is not held on trust, is not client money, and does not constitute electronic money or a deposit.
Settlement Period: All funds are subject to a seven (7) day settlement period following the original transaction to allow for fraud review and clearing.
Withdrawals: Withdrawals are subject to a minimum threshold of $50 and a maximum threshold of $5000. The Company aims to process valid requests within ten (10) business days, but delays may occur due to external banking procedures or compliance reviews.
REFUNDS, CHARGEBACKS, AND DISPUTE FEES
If a Buyer receives a refund or initiates a chargeback, the Company shall: (a) Deduct the disputed amount from the Seller Balance; (b) Recover the amount from future earnings if the balance is insufficient.
Administrative Dispute Fee: If a Seller's account exceeds a 1.00% dispute rate over any 30-day period, the Company reserves the right to charge an administrative fee of $100.00 USD (or equivalent) per dispute thereafter. This fee covers the costs of compliance, manual review, and platform integrity management.
CONTENT RIGHTS AND RESPONSIBILITY
The Seller warrants that they own or have all rights and permissions required to sell, distribute, and provide access to the Content through Seeit.
The Seller must provide reasonable documentation of ownership, authorization, licensing, or consent if requested by the Company as part of a compliance, dispute, or fraud review.
SET-OFF AND WITHHOLDING RIGHTS
The Company may offset any amount the Seller owes the Company (fees, penalties, or chargeback costs) against any amount the Company owes the Seller.
Account Freezes: The Company reserves the right to withhold payments indefinitely if fraud is suspected, during a pending moderation investigation, or to comply with a lawful order from Cyprus authorities.
TERMINATION
The Seller may close their account at any time via the Platform settings. The Company may terminate this Agreement immediately if the Seller violates any policy. Termination does not extinguish the Seller's obligation to indemnify the Company for prior acts.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by the laws of Cyprus. Any dispute, controversy, or claim shall be adjudicated exclusively by the courts of the Company's registered seat in Cyprus.
DIGITAL ACCEPTANCE
By clicking “Accept” or uploading Content to Seeit.co, the Seller agrees to be bound by these terms.
I have read and understood the terms of the Seller Agreement for the Seeit.co Platform as provided, including the role of the Company as merchant of record, the fee structure, payout and settlement terms, refund and chargeback handling, record-keeping and compliance obligations, set-off and withholding rights, termination provisions, and governing law and jurisdiction. I acknowledge that by clicking "Accept" or uploading Content to Seeit.co, the Seller agrees to be bound by these terms.
